Gold Media Tech LLC is a staff augmentation and recruiting firm that assists companies in building remote teams by connecting them with skilled professionals. We offer staff augmentation, recruiting services, and consulting for remote team management.

2. Definitions

• Client: Any individual or entity using Gold Media Tech’s services to find talent for their business needs.
• Contractor/Professional: Any individual recruited or placed by Gold Media Tech to provide services to the client.
• Services: Includes staff augmentation, recruiting, and consultation services provided by Gold Media Tech.

3. Service Agreement

When engaging our services, a separate service agreement will outline the specific terms of the engagement, including but not limited to pricing, service scope, confidentiality, and responsibilities. Our general terms and conditions supplement, but do not replace, any terms outlined in such agreements.

4. Client Obligations

Clients must provide accurate and complete information when engaging with Gold Media Tech to ensure the best possible service delivery. Clients agree to:

• Clearly outline their staffing or recruitment needs.
• Pay fees as agreed upon in the service agreement.

5. Contractor Engagement

Contractors are independent professionals, not employees of Gold Media Tech LLC. The client will directly engage with contractors after their recruitment and assume responsibility for managing the contractor’s performance, tasks, and deliverables.

Gold Media Tech LLC is not responsible for the day-to-day management of contractors once they have been placed with the client.

6. Payments and Fees

Clients are responsible for paying all agreed-upon fees for our services as detailed in the service agreement.

Any additional costs related to contractor performance (such as overtime, expenses, or taxes) are the client’s responsibility unless otherwise specified in the service agreement.

7. Confidentiality

We respect the confidentiality of our clients and contractors. Both parties agree to keep confidential any sensitive business, technical, or financial information shared during the course of services. Gold Media Tech may share necessary information with contractors and clients, but only as required for successful service delivery.

8. Intellectual Property

All intellectual property created by contractors as part of their work for the client will remain the property of the client, unless otherwise specified in writing. Gold Media Tech LLC does not claim any rights to intellectual property created during the service engagements.

9. Limitation of Liability

Gold Media Tech LLC acts as an intermediary between the client and contractors. We do not take responsibility for any damages or issues arising from:

• Contractor performance, misconduct, or legal infractions.
• Client mismanagement or misuse of our services.
• Any third-party claims related to our services.
• Gold Media Tech will not be liable for any indirect, incidental, special, or consequential damages, including lost profits, data loss, or damage to business reputation, resulting from the use of our services.

10. Indemnification

Clients agree to indemnify and hold harmless Gold Media Tech LLC, its directors, employees, contractors, and agents from any claims, damages, liabilities, and expenses arising from or related to the client’s use of our services.

11. Termination

Gold Media Tech LLC reserves the right to terminate or suspend any service agreement if the client violates these terms or fails to make timely payments. Clients may also terminate the agreement by providing written notice in accordance with the termination clause outlined in their service agreement.

12. Governing Law

These terms and conditions shall be governed by the laws of the state of Delaware, United States. Any disputes arising out of or related to these terms will be resolved in the courts of Delaware.

13. Dispute Resolution

In the event of a dispute, both parties agree to first attempt informal resolution through written communication. If the dispute cannot be resolved, it may proceed to mediation or litigation, as per the governing law outlined above.

14. Amendments

Gold Media Tech LLC reserves the right to amend these terms and conditions at any time. Updates will be posted on our website, and continued use of our services will constitute acceptance of any modifications.
